Section X: Paid Search and Search Engine Marketing (SEM) Restrictions

X.1. Prohibited Keyword Bidding. Affiliate agrees that it shall not, under any circumstances, bid on, purchase, or register keywords, search terms, or other identifiers that include the intellectual property of [Insert Your Brand Name], including but not limited to [Insert Your Brand Name]’s trademarks, service marks, brand names, corporate names, or any variations, misspellings, or derivatives thereof (collectively, "Proprietary Terms"), on any pay-per-click (PPC) search engines, including but not limited to Google, Bing, Yahoo, and DuckDuckGo. Examples of prohibited search terms include, but are not limited to: "The English Bed Company", "The English Bed Company coupons", "The English Bed Company discount", "The English Bed Company"reviews" or anything simular to The English Bed Company

X.2. Mandatory Negative Keywords. Affiliate is strictly required to implement all Proprietary Terms as broad match negative keywords across all paid search campaigns managed by the Affiliate. Affiliate must update its negative keyword lists within forty-eight (48) hours of any written request by [Insert Your Brand Name] or upon any update to The English Bed Company's official trademark list. Failure to properly implement these negative keywords, resulting in Affiliate ads appearing for Proprietary Terms, shall constitute a material breach of this Agreement.

X.3. Display URL and Direct Linking. Affiliate shall not use the destination URL www.[YourDomain].com or any variation thereof as its display URL in any paid search advertisements. Direct linking from paid search advertisements to [Insert Your Brand Name]’s website is strictly prohibited. All Affiliate traffic originating from paid advertisements must be routed through an independent landing page owned and operated by the Affiliate before directing users to The English Bed Company’s website via the designated affiliate tracking link.

X.4. Domain and Social Media Restrictions. Affiliate shall not register, purchase, or use any domain names, subdomains, social media handles, usernames, or application titles that contain, mimic, or are confusingly similar to any of The English Bed Company’s Proprietary Terms.

X.5. Remedies for Breach. In the event that The English Bed Company determines, in its sole discretion, that Affiliate has violated any provision of this Section, [Insert Your Brand Name] reserves the right to:

(a) immediately withhold and forfeit any and all pending or accrued commissions earned by the Affiliate during the period of the violation;

(b) suspend or permanently terminate the Affiliate’s participation in the affiliate program; and

(c) seek any other legal or equitable remedies available under the law.

Section Y: Affiliate-Created Marketing Materials and Creatives

Y.1. Mandatory Prior Approval. Affiliate shall not create, design, publish, or distribute any custom promotional materials, including but not limited to display banners, graphics, images, video content, ad copy, or any other visual or written assets ("Affiliate-Created Materials") featuring [Insert Your Brand Name]’s name, logo, or products without the express, written prior approval of The English Bed Company.

Y.2. Submission and Approval Process. If Affiliate wishes to use Affiliate-Created Materials, Affiliate must submit the final designs or copy in writing to markeitng@forestsofa.co.uk for review. The English Bed Company shall evaluate the submission for brand consistency, messaging accuracy, and legal compliance. No Affiliate-Created Materials may be deployed publicly unless and until the Affiliate receives an explicit, written sign-off (email confirmation from an authorised program manager shall suffice) from The English Bed Company.

Y.3. Strict Adherence to Brand Guidelines. Any approved Affiliate-Created Materials must strictly adhere to The English Bed Company's official Style Guide and Trademark Guidelines (if provided). Under no circumstances may an Affiliate alter the aspect ratio, colors, or fonts of [Insert Your Brand Name]’s official logos or trademarks.

Y.4. Immediate Removal and Termination. If Affiliate deploys unapproved marketing materials, Affiliate must remove them immediately upon written notice from The English Bed Company. Failure to remove unapproved materials within twenty-four (24) hours of notification, or repeated violations of this Section, shall result in immediate suspension from the affiliate program and the permanent forfeiture of all unpaid or pending commissions.
