Fresh ’n Rebel B.V., trading as Fresh ’n Rebel, with its registered office in Rotterdam at Linatebaan 101, 3045AH, registered in the Trade Register of the Dutch Chamber of Commerce under number 24313551 (hereinafter: “Fresh ’n Rebel”), offers Publishers the opportunity to generate income by placing a link on the Publisher’s website. This link redirects third parties to the website(s) of Fresh ’n Rebel and is placed as part of the “Affiliate Programme”.

These terms and conditions (hereinafter: the “Affiliate Terms and Conditions”) apply to the Affiliate Programme.

Brief description

Fresh ’n Rebel offers an Affiliate Programme (supported by Tradedoubler) that enables Publishers to generate income by placing links to one or more Fresh ’n Rebel websites. These links may, for example, be placed on a website or in emails, or distributed via an SEA campaign or advertising network.

To use the Affiliate Programme, the Prospect must agree to these Affiliate Terms and Conditions. Therefore, please read these Affiliate Terms and Conditions carefully.

By clicking the ‘Create account’ button, the Prospect declares that the Prospect has carefully read and accepts these Affiliate Terms and Conditions. After an account has been created, Fresh ’n Rebel and Stroom will assess whether the Prospect may participate in the Affiliate Programme and thereby become a Publisher. In addition to these Affiliate Terms and Conditions, specific Programme Terms and Conditions may also apply to individual campaigns.

1. Definitions

In these Affiliate Terms and Conditions, the following terms have the meanings set out below:

  • Affiliate Programme: a programme offered by Fresh ’n Rebel, under which one or more Publishers place a Link on their Publisher Website or in their Publisher Inventory that redirects third parties to a Linked Fresh ’n Rebel Website;
  • Affiliate Terms and Conditions: these terms and conditions to which the Prospect must agree before becoming a Publisher and being able to use the Affiliate Programme;
  • Commission: the amount received by the Publisher based on Clicks, Leads and/or Transactions;
  • Fresh ’n Rebel Website(s): the website(s) owned or operated by Fresh ’n Rebel;
  • Linked Fresh ’n Rebel Website(s): a Fresh ’n Rebel Website to which the Publisher, following approval by Fresh ’n Rebel and Stroom, has placed a Link on the Publisher Website or in the Publisher Inventory;
  • Intellectual Property Rights: all intellectual property rights, including rights in trade marks, copyright, trade names and database rights;
  • Click: a click by a Unique Visitor on a Link;
  • Artificial Traffic: a collective term for invalidly generated traffic (such as spiders, robots, cookie stuffing or misleading software);
  • Lead: a Unique Visitor who, after a Click, performs a specific action on a Linked Fresh ’n Rebel Website, such as registering;
  • Link: a link on the Publisher Website or in the Publisher Inventory that refers to a Linked Fresh ’n Rebel Website;
  • Programme Terms and Conditions: the terms and conditions imposed by Fresh ’n Rebel for a specific Programme, in addition to the Affiliate Terms and Conditions;
  • Prospect: the person or company that wishes to become a Publisher;
  • Publisher: the person or company accepted by Fresh ’n Rebel and Stroom;
  • Publisher Interface: the interface for Publishers (managed by Stroom and facilitated by Tradedoubler);
  • Publisher Inventory: materials other than websites (such as email or SEA) that may contain Links;
  • Publisher Website: a website or mobile app owned by the Publisher on which Links have been placed;
  • Stroom: Stroom B.V., part of Candid Group B.V., with its registered office at Werfstraat 350, 1033 SW Amsterdam, registered in the Trade Register of the Dutch Chamber of Commerce under number 24339660. Stroom manages the Publisher Interface;
  • Tradedoubler: TradeDoubler Sweden AB (or an affiliated entity of Tradedoubler), the affiliate marketing network that provides the technological infrastructure;
  • Transaction(s): an agreement between Fresh ’n Rebel and a Unique Visitor for the purchase of a product or service as a direct result of a Click;
  • Unique Visitor: any person who visits a Linked Fresh ’n Rebel Website within a specified period;
  • Traffic: the total number of Clicks, Leads and Transactions, excluding Artificial Traffic;
  • Confidential Information: non-public information relating to Fresh ’n Rebel’s business operations.

2. Application

2.1 Application to the Affiliate Programme shall be made in the manner described in Article 3.
2.2 By applying, the Prospect agrees to these Affiliate Terms and Conditions.
2.3 The application must be submitted by an adult representative.

3. Registration and acceptance

3.1 Following application via the 'Create account' button, the Prospect provides information to Fresh ’n Rebel and/or Stroom.
3.2 Fresh ’n Rebel and Stroom have the discretionary right to reject a Prospect.
3.3 Following acceptance, the Publisher may place Links using the options available in the Publisher Interface.

4. Programme and Terms and Conditions

4.1 Specific Programme Terms and Conditions can be found in the Publisher Interface.
4.2 Fresh ’n Rebel may amend these terms and conditions without prior notice. The Publisher must check them regularly for amendments.

5. Payment

5.1 The method for calculating the Commission is described for each Programme in the Publisher Interface.
5.2 The Publisher agrees to self-billing. Tradedoubler issues the invoice on behalf of the Publisher.
5.3 Payment is made after the Transactions have been approved and the Commission has been validated by Tradedoubler.
5.4 For payment to be made:
a. Traffic must actually have been generated;
b. Tradedoubler must have received the funds from Fresh ’n Rebel; and
c. the accrued amount must be at least EUR 100.
5.5 Payment is made to the bank account specified by the Publisher. Fresh ’n Rebel is not liable for incorrect payments resulting from the provision of incorrect information.

6. Publisher obligations

6.1 The Publisher warrants that the Publisher Website and Inventory comply with all legislation (including the GDPR and cookie legislation).
6.2 Information in the Publisher Interface must be entered truthfully and kept up to date.
6.3 The content of the Publisher Website may not infringe the rights of third parties and may not be offensive (e.g. pornography or racism).
6.4 Generating Artificial Traffic is prohibited.
6.5 Promotional material may not be modified without the written permission of Fresh ’n Rebel.
6.6 In the event of a breach of these obligations, the Publisher shall forfeit an immediately payable penalty of EUR 5,000 per breach and EUR 1,500 for each day that the breach continues, without prejudice to the right to claim damages and cancel Commissions.

7. Fresh ’n Rebel obligations

7.1 Fresh ’n Rebel records the Traffic. These records shall be decisive for the calculation of the Commission.
7.2 Fresh ’n Rebel endeavours to provide a secure and available Publisher Interface.

8. Liability

8.1 Except in cases of intent or gross recklessness, Fresh ’n Rebel is not liable for loss arising from (participation in) the programme.
8.2 Stroom is not liable for indirect or consequential loss.
8.3 Fresh ’n Rebel and Stroom are not responsible for defects in the technology of the Publisher Interface or Tradedoubler.
8.4 The Publisher indemnifies Fresh ’n Rebel and Stroom against all third-party claims relating to the Publisher’s communications.

9. Termination and amendment

9.1 The Publisher may terminate participation at any time via the Interface or by email to Stroom.
9.2 Fresh ’n Rebel may terminate participation immediately in the event of misuse, fraud or failure to generate traffic for a period of three months.
9.3 Following termination, all Links must be removed immediately. Traffic generated after termination will not be remunerated.

10. Privacy

10.1 The Publisher agrees to Fresh ’n Rebel’s privacy policy.
10.2 Tradedoubler collects data from both Publishers and consumers in order to track Transactions correctly and process payments.

11. Confidentiality

11.1 The Publisher shall treat all business information of Fresh ’n Rebel as strictly confidential and shall not share it with third parties without written permission.

12. Governing law

12.1 Dutch law applies.
12.2 Disputes shall be submitted exclusively to the competent court in Amsterdam.

13. Miscellaneous provisions

13.1 Rights and obligations may only be transferred to third parties with the written permission of Fresh ’n Rebel.
13.2 Fresh ’n Rebel has the right to mention the Publisher’s name in the Interface for the purpose of promoting the programme.
13.3 The Publisher obtains only a non-exclusive right to use the materials provided for the duration of its participation.
