1. Introduction

These terms and conditions apply to the affiliate regarding Svenska Spel Sport & Casino AB's online casino, momangcasino.se, within the so-called "Momang Program".

As an affiliate to Svenska Spel Sport & Casino AB ("Svenska Spel"), you undertake to comply with these terms and conditions, Svenska Spel's Marketing Manual (incl. guideline for marketing) and the Affiliate Agreement (also called "Publisher Agreement") which can be read via the affiliates login at Tradedoubler. If Svenska Spel has entered into a separate agreement with the affiliate, such agreement shall prevail in the event of any discrepancy between such agreement and these terms and conditions.

2. Compensation
As an affiliate, you receive compensation (commission) based on the sale of gaming/gambling that takes place as a result of the affiliate's direct mediation of casino games after the current registration window set up at Tradedoubler. Commission is payable in accordance with Section 3 below. Payment of the commission is made via Tradedoubler, whereby the terms agreed between the affiliate and Tradedoubler regarding settlement, reporting, payment terms, etc. shall apply. Svenska Spel is not liable to the affiliate for such commitment that is incumbent on Tradedoubler to fulfill in relation to the Affiliate, provided that Svenska Spel has fulfilled its obligations in relation to Tradedoubler.

3. Commission
An affiliate to Svenska Spel receives commission according to the following:

Commission is only received for new customers to Svenska Spel on momangcasino.se (a customer is considered as a new customer to momangcasino.se even if the customer since before is a registered customer to Svenska Spel). As from the time the customer clicks on a Tradedoubler link at the affiliiate, the customer needs to become a registered customer within the registration window to be registered as recruited by the affilliate. The accreditation period begins when the customer registers as a new customer at momangcasino.se. The accreditation period cannot be broken by any other affilliate and all casino sales on momangcasino.se to the relevant customer during the accreditation period generate commission to the affilliate. In order for the newly registered customer to meet the conditions of an NDC and thus generate a CPA to the affiliate, the customer must first have fulfilled the conditions of the registration window and then the conditions - during the deposit window - to be classified as a NDC. However, if the customer has logged on to momangcasino.se from the marketing/sales channel belonging to Svenska Spel, the customer will not be activated as a new customer for the affiliate.

Definitions:

Registration window: 15 days cookie time from click on Tradedoubler link at affiliate.
Deposit window: 15 days deposit period from registration i.e., the time that the customer has to deposit funds to activate the NDC to the affiliate.
Accreditation period: 365 days from registration date, the time the affiliate receives commission (revenue-share) for the player.
Net gaming revenue: sales after deducting customers' winnings and bonuses paid out.
No negative carry-over: negative results are not carried forward to the following month.
Commission: 35% on net gaming revenue after deduction of administration fee and gaming tax, so-called revenue share.
Administration fee: 27% deduction on net gaming revenue.
Gambling tax: 22% deduction on net gaming revenue.
NDC (New Depositing Customer): The customer registers and deposits at least 100 SEK at momangcasino.se within the period of the deposit window.
CPA (Cost per acquisition) = 1000 SEK/NDC

4. Marketing
The affiliate is not entitled to publish any advertising for Svenska Spel other than what is provided by Svenska Spel. The affiliate is also not entitled to change the marketing material provided by Svenska Spel. However, the affiliate may, after approval by Svenska Spel, publish its own promotional material for Svenska Spel's products. Such approval shall be obtained in advance by e-mail.

5. Guideline for marketing of gambling
The Gambling Act (2018:1138), which came into force as from 1 January 2019, places stricter requirements on the gambling companies. It is therefore of the utmost importance that the affiliate has taken part of Svenska Spel's Guideline for Marketing and implements any changes/additions to the affiliate's website to meet the requirements for marketing Svenska Spel's products.

The affiliate is aware of the special rules for the marketing and sale of casino games that apply to Svenska Spel and is obliged to comply with these rules. This means, among other things, that:

- it is clear who is the sender when marketing Svenska Spel's casino games,

- the affiliate must expose on its website the responsible gambling logos and contact information to the support line that Svenska Spel provides,

- linking to Svenska Spel may only take place in the manner instructed by Svenska Spel,

- the marketing and sales must not be intrusive or outreach,

- caution must be exercised in connection with communication of jackpot size,

- marketing and mediation of casino games must never be aimed at people under the age of 18.

- information and marketing of Svenska Spel is not entitled to be done through so-called pop-up ads that take over the image. Furthermore, marketing is not entitled to be done through the use of “wallpapers” so that the page cannot be used without being exposed by the marketing.

- marketing should be moderate, where claims of solicitation is not entitled to be used (e.g., "Play Now", "Start playing", etc.). However, it is ok for the affiliate to use "To the Casino Games" or "Read more" on buttons, etc.

- posts on social media, etc. should be marked with "Sponsored post", "Paid collaboration with" or equivalent labeling,

Other restrictions follow from Svenska Spel's Guideline for Marketing, which is part of Svenska Spel's Marketing Manual, which you can find here.

6. Keyword policy
The affiliate is not entitled to drive traffic through Google Ads or Microsoft Bing ads. Svenska Spel has a closed keyword policy. Svenska Spel encourages organic search engine optimization.

7. Cookie setting

The affiliate's associated Tradedoubler links shall be used in a correct manner. The links shall only be used on the affiliate's website for a clear "call to action" (C2A) where the users know that they will visit Svenska Spel via the click on the link. The affiliate is not entitled to mislead the visitors by placing links on sites on the affiliate's website that cause the visitors to be directed between the affiliate's website and Svenska Spel in a misleading manner. The visitors shall know that they will visit Svenska Spel via their click.

Svenska Spel's purchased search placements cancel the current cookie time. Svenska Spel is not responsible for the event that technical problems arise regarding cookie setting (such as, for example cookie splitting), whereby the cookie period may be interrupted.

8. Cookie setting social media

When marketing Svenska Spel's casino games and content on the affiliate's social media, affiliate is not entitled to use Tradedoubler links in the affiliate's posts, but these must be provided on the affiliate’s website. Marketing via social media shall be done with moderation and caution, with design being in accordance with section 5 above.

When linking via social media, the affiliate should make sure that it is clear that the visitors know that they will visit Svenska Spel via their click.

9. Prize competitions
The affiliate is prevented from making its own prize competitions linked to Svenska Spel's casino games.

10. Self-gambling

In cases where representatives of the affiliate play casino games for themselves, such gaming shall be limited and take place at a healthy level.

11. Violation
It is important that the affiliate complies with Tradedoubler's and Svenska Spel's terms and conditions, the Marketing Manual and the Affiliate Agreement. If this is not done, Tradedoubler and Svenska Spel may terminate the cooperation with immediate effect, whereby the affiliate's outstanding commission may be forfeit (see also section 19 below).

In the event that the affiliate violates Tradedoubler's and Svenska Spel's terms and conditions, or otherwise does not fulfill current obligations and commitments, Svenska Spel has the right:

a) to suspend the affiliate’s participation in the affiliate program for the time necessary to investigate possible violations of the current terms and conditions. During the period of suspension, Svenska Spel will also withhold payment of commission.

b) to withhold commission or other payments paid, on the grounds that the affiliate violates the current terms and conditions with respect to certain specific promotion, traffic, content, or activity conducted/created by the affiliate.

c) to withhold and/or set off such remuneration from the commission to cover Svenska Spel's liability that may arise as a result of the affiliate’s breach of the current terms and conditions, and/or otherwise in the event of the affiliate’s negligence.

d) to immediately terminate the cooperation with the affiliate (see also section 19 below).

e) to withhold compensation held in the affiliate’s account in the event that such compensation is not collected within a period of three (3) months from the date of the termination of the cooperation with the affiliate.

12. Affiliates liability
The affiliate is responsible for:

a) that it fulfills all statutory obligations to pay applicable taxes and duties;

b) that the affiliate’s website complies with all applicable laws and regulations in Sweden;

c) that the affiliate’s website does not infringe on the rights of others;

d) that the affiliate’s website does not contain offensive information about others;
e) that the affiliate’s website does not contain material that is illegal, pornographic, violence-related, or otherwise deemed inappropriate according to Svenska Spel;

f) to obtain Svenska Spel’s approval prior to any significant changes to the affiliate’s website in terms of appearance or content;

g) that the affiliates website does not advertise and/or promote gambling and/or gambling companies that do not have a license to organize gambling in Sweden.

13. Svenska Spel Sport & Casino's commitments
Svenska Spel Sport & Casino undertakes to provide the affiliate with the following during the term of the Affiliate Agreement;
a) links from the affiliate's website to Svenska Spel's website via Svenska Spel's platform.

b) the necessary information material for the affiliate to be able to expose Svenska Spel and Svenska Spel's casino games in a correct way on its website, including detailed instructions and the Marketing Manual (incl. Svenska Spel's Guideline for Marketing);

c) advertising material adapted for each game in order to support the affiliate's exposure of Svenska Spel and its casino games.

14. Affiliates commitments
Affiliate undertakes to:

a) comply with all provisions of these terms and conditions as well as the rules and instructions for the business that Svenska Spel from time to time specifically announces;

b) comply with Tradedoubler's at all times applicable Affiliate Agreement;

c) act by directing its activities, as far as they relate to the marketing and sale of Svenska Spel's casino products, only towards Swedish residents within the Swedish territory;

d) through its website market and convey Svenska Spel's casino products in the manner instructed by Svenska Spel. More detailed instructions for marketing can be found in Svenska Spel's Marketing Manual;

e) constantly work to promote the sale of Svenska Spel's casino games via the affiliate's website in a responsible manner. This means i.a. to further develop and adapt its website in appropriate steps in order to responsibly increase the turnover of games over the Internet;

f) in accordance with Svenska Spel's instructions, update and publish new promotional material within three (3) working days from the time the affiliate receives the material, unless otherwise specifically announced by Svenska Spel;

g) carry out a responsible gambling education developed by Svenska Spel and to take responsible gambling into account in the design of the parts of the website that aim to market and mediate games from Svenska Spel;

h) only expose Svenska Spel and its casino games in a positive context for Svenska Spel;

i) promote gambling only for Svenska Spel and operators who, according to the Gambling Act (2018:1138), have received license to organize gambling in Sweden;

j) comply with the Gambling Act (2018:1138) and not promote (which includes both marketing and mediation of) gambling in any form organized by gambling companies that do not have a license in Sweden.

15. Svenska Spel Sport & Casino's liability

Svenska Spel is responsible for:

a) the content and quality of Svenska Spel's provided links and Svenska Spel's website;

b) the gaming/gambling mediated via Svenska Spel's website, for the transfer of funds between the customer and Svenska Spel and for the payment of any winnings to the customer. All transactions take place directly between the customer and Svenska Spel, which is why the affiliate has no responsibility for any errors due to gaming/gambling on Svenska Spel's website. However, Svenska Spel is not responsible for such indirect loss that the affiliate may be caused as a result of, for example, interruptions in internet connection, in the event that Svenska Spel's website is temporarily out of service, or it is not possible to play on Svenska Spel's website for any other reason that Svenska Spel does not control. Furthermore, Svenska Spel is not responsible for the event that the affiliate tool (incl. tracking) is out of order, which is why the affiliate is not entitled to damages or other compensation of any kind (incl. lost profits or other direct or indirect loss) as a result of deficiencies in the affiliate tool.

16. Transfer
The affiliate may not transfer its rights or obligations under these terms and conditions to another party, unless Svenska Spel has given prior written consent thereto.

17. Operation
Svenska Spel is normally in operation 24 hours a day, seven days a week all year round. However, the parties are aware of and accept that temporary service disruptions may affect all internet services.

18. Term of the Agreement
The term of the agreement is set out in the Affiliate Agreement. Otherwise, the affiliate cooperation takes effect at the time of signing the Affiliate Agreement. Svenska Spel has the right to terminate the affiliate cooperation through three (3) days notice.

19. Early termination
Early termination is set forth in the Affiliate Agreement. Otherwise, Svenska Spel Sport & Casino has the right to terminate the affiliate cooperation with immediate effect if the affiliate's F-tax certificate is revoked or expires, or if the affiliate otherwise violates, or fails to fulfill its obligations under these terms and conditions that are not minor.

Svenska Spel also has the right to terminate the affiliate cooperation with immediate effect in the following situations if the circumstances are not without significance for Svenska Spel and the affiliate also does not take corrective action within seven (7) days of Svenska Spel's request to that effect:

a) if the affiliate violates Svenska Spel's instructions and guidelines;

b) if, without Svenska Spel's approval, the affiliate substantially changes the content of the affiliate's website;

c) if the affiliate otherwise mismanages the marketing or mediation of Svenska Spel's casino games or the business within which the mediation of Svenska Spel's games takes place. Svenska Spel also has the right to terminate the affiliate cooperation with immediate effect in the event that the affiliate has transferred the cooperation to another party without Svenska Spel's prior written approval. Svenska Spel also has the right to terminate the cooperation with immediate effect in the event of the affiliate's insolvency or bankruptcy, or if the affiliate's agreement with Tradedoubler should cease to apply.

Termination of cooperation must be made in writing (email, etc.).

Upon termination of cooperation, the affiliate has the right to receive compensation for gaming mediated up to the time of termination of the cooperation, (provided that the affiliate has not committed a material breach of contract, whereby no compensation is paid). However, in the event that the agreement is terminated by Svenska Spel (without the affiliate violating the agreement, whereby no compensation is paid), the affiliate is entitled to commission according to section 3 above. In the event that Svenska Spel has a claim for damages from the affiliate, Svenska Spel has the right to withhold payment of compensation corresponding to Svenska Spel's claim.

20. Complete regulation
These terms and conditions (with accompanying documents, incl. the Affiliate Agreement) constitute the parties' complete settlement of all matters to which the cooperation relates. All written or oral commitments and representations that preceded these terms and conditions and the Affiliate Agreement are thus superseded by the content of these terms and conditions and the Affiliate Agreement.

21. Confidentiality
The content of these terms and conditions as well as information that the party receives from the other party during the cooperation may not be disclosed to third parties or used by the receiving party.

22. Change of terms and conditions
Svenska Spel has the right to change and/or update these terms and conditions at any time. In the event of any change/update, the affiliate must be informed.
