Affiliate Marketing Program Terms and Conditions

Effective Date: 19.08.2024

1. Introduction

Welcome to the Breathe HR Affiliate Program. These terms and conditions (the "Agreement") govern your participation as an affiliate ("Affiliate") in the Program. By enrolling in the Program, you agree to be bound by this Agreement.

2. Eligibility

Affiliates must be at least 18 years of age and possess the legal authority to enter into this Agreement. Affiliates must have a website, blog, or other online presence that aligns with Breathe HR's brand values and is approved by Lee Smart.

3. Program Enrollment

To enroll in the Program, you must submit an application through TradeDoubler and Breathe HR reserves the right to accept or reject any application at its sole discretion.

4. Primary Target Audience:

Trials initiated by individuals or organisations outside of our target audience — such as may be subject to cancellation to ensure we provide the best experience for those who can truly benefit from our platform.

Region: Based in the United Kingdom only.

Company Size: Small to medium-sized businesses (SMBs), typically ranging from 20 to 200 employees.

5. Affiliate Obligations

  • Promotion: Affiliates agree to promote Breathe HR's HRIS offerings through approved marketing channels, including websites, blogs, social media, and email newsletters.
  • Compliance: Affiliates must comply with all applicable laws within the United Kingdom, including and not limited to GDPR.
  • Content: Affiliates must ensure that any content promoting Breathe HR is accurate, up-to-date, and aligns with the brand's values. Misleading or false claims are strictly prohibited.
  • Brand Policy: Affiliates must adhere to Breathe HR 's brand guidelines, including the correct use of logos, trademarks, and marketing materials provided by Breathe HR.

6. Prohibited Activities

  • Inappropriate Content: Affiliates may not promote Breathe HR on websites or through channels that contain or link to inappropriate content, including but not limited to, content that is offensive, defamatory, obscene, or illegal.
  • Spamming: Affiliates may not use unsolicited email (spam) to promote Breathe HR.
  • Keyword Bidding: Affiliates are prohibited from bidding on keywords that include Breathe HR 's trademark or any variations thereof on search engines.

7. Commissions

  • Earnings: Breathe HR will pay £25 per trail and affiliates will earn a the commission based on qualifying trails that are specified in the Affiliate Program details.
  • Payment Terms: Commissions will be paid monthly via TradeDoubler once the trial is qualified.
  • Reversals: Breathe HR reserves the right to reverse commissions for refunded, canceled, or fraudulent trails.

8. Termination

  • Termination by Affiliate: Affiliates may terminate this Agreement at any time by providing written notice to Breathe HR.
  • Termination by Breath HR: Breathe HR reserves the right to terminate this Agreement at any time, with or without cause, by providing written notice to the Affiliate.
  • Effect of Termination: Upon termination, the Affiliate must remove all links, banners, and other promotional materials related to Breathe HR from their website and other marketing channels.

9. Confidentiality

Affiliates agree to maintain the confidentiality of all non-public information provided by Breathe HR, including but not limited to, commission rates, marketing strategies, and proprietary software.

10. Limitation of Liability

Breathe HR shall not be liable for any indirect, incidental, special, or consequential damages (including loss of revenue, profits, or data) arising in connection with this Agreement or the Affiliate's participation in the Program.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of United Kingdom without regard to its conflict of laws principles.

12. Amendments

Breathe HR reserves the right to modify or update these terms and conditions at any time. Affiliates will be notified of any changes, and continued participation in the Program constitutes acceptance of the updated terms.

13. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the Affiliate's participation in the Program and supersedes all prior agreements or understandings, whether written or oral.

Affiliate Marketing Policy: Brand Name Bidding

As part of our commitment to protecting the integrity of our brand, we have established the following policy regarding the use of our brand name by affiliates:

Prohibited Activities:

  • Brand Name Bidding: Affiliates are strictly prohibited from bidding on our brand name, including any variations or misspellings, in any pay-per-click (PPC) advertising, search engine marketing (SEM), or any other type of online advertising. This includes but is not limited to search engines such as Google, Bing, Yahoo, and any other online advertising platforms.
  • Brand Name Usage: Affiliates may not use our brand name or any variations thereof in the domain names, URLs, or subdomains of their websites without prior written permission from us.
  • Negative Keywords: Affiliates must include our brand name as a negative keyword in all their PPC and SEM campaigns to ensure that their ads do not appear in searches related to our brand.

Consequences of Non-Compliance:

Affiliates found to be in violation of this policy will be subject to immediate termination of their affiliate account, forfeiture of any outstanding commissions, and may face legal action if necessary.

Why This Policy Exists:

This policy is in place to ensure that our brand identity remains strong and that our customers are not confused or misled by unauthorized advertisements. By maintaining control over how our brand name is used in advertising, we can better protect our reputation and the trust we have built with our clients.
