Terms and Conditions ABOUT YOU Affiliate Program (December 2023)

The following terms and conditions apply to the ABOUT YOU Affiliate Program. The ABOUT YOU Affiliate Program enables Partners to display advertising from ABOUT YOU SE & Co. KG, Domstraße 10, 20095 Hamburg, Germany (hereafter referred to as “ABOUT YOU”) on Partners websites (hereafter referred to as “Partner Website”) and to earn advertising revenue in this way. This is done by placing links to ABOUT YOU websites on the Partner Website.

1. Object of the Contract

1.1. ABOUT YOU will use the affiliate network platform/UI to provide image and text links (hereafter referred to as “ABOUT YOU Links”) for use on Partner Websites, as specified in these terms and conditions. You may only incorporate these links in an appropriate number and in all appropriate areas on your website.

1.2. You may place ABOUT YOU links only on the websites that have the addresses (URLs) you listed in your application to the ABOUT YOU Affiliate Program. The links identify your website within our partner network and establish the connection from your website to our website. A connection to our website may only be established through these links. The links may point to different areas of the ABOUT YOU websites.

1.3. For the advertisement and each successful placement of a transaction every Publisher who was involved in an order is thereby awarded an advertising revenue which depends on the scope and real value of performance. The right to and amount of the advertising revenue is calculated according to the agreements concluded with our Affiliate Partner Networks and do not form part of this Terms.

1.4. To participate in the ABOUT YOU Affiliate Program, you must be at least 18 years old and have the legal capacity to form a contract.

2. Calculating of Advertising Revenue

2.1. In calculating the advertising revenue, we count only revenues received by ABOUT YOU based on the sale of ABOUT YOU products to customers who visit our websites using a link from a Partner Website immediately prior to purchasing. Such sales will be taken into account when calculating the advertising revenue, provided the sale, delivery and full payment for the goods are concluded, less returns, value-added tax and credit notes. In case there are service fees (e.g. shipment costs), these will not be taken into account when calculating the commission. We reserve the right to demand the return of the commission paid in the case of full and partial returns, if applicable, within the agreed timeline (stated in affiliate network User Interface). Only one order per session will be remunerated. The calculation of your advertising revenue is based on the so-called “Last Cookie Wins” (LCW).

2.2. It is not possible to manually add advertising commission entries in the ABOUT YOU Affiliate Program if sales are not tracked in our Partner Network (additional commission), unless it involves a technical tracking failure caused by the ABOUT YOU system. A technical tracking failure must be confirmed by both the Partner Network as well as ABOUT YOU. Therefore, we ask you to refrain from subsequent booking requests, if these conditions are not met.

3. Usage Rights

3.1. ABOUT YOU grants a non-exclusive, non-transferable right which may be revoked at any time, to access the ABOUT YOU websites using the links in accordance with these terms and conditions. ABOUT YOU grants the right to use the ABOUT YOU Logo and other materials provided for purposes of advertising for the ABOUT YOU websites only in conjunction with such links. This right applies only for purposes of establishing links between the Partner Website and the ABOUT YOU Website that allow users to purchase ABOUT YOU products. You may not revise or alter the licensed material in any way. A material breach of the aforementioned agreements entitles ABOUT YOU to terminate these terms and conditions without notice.

3.2. The rights under 3.1. will expire once any termination of these terms and conditions come into effect. Partners must immediately and completely remove any links placed on Partner Websites.

3.3. Material that is not made publicly available (e.g. only after a user logs-in) must not be used or shared on Partner Websites

4. Program Rules

4.1. Partner is fully and solely responsible for setting up, operating and maintaining Partner Website and for all materials that appear on your website. This responsibility specifically relates to the technical operation of the website and the required technical systems. Partner guarantees that the website is free of pornography, portrayals of violence (sexual violence, killing of people or animals), discriminatory depictions of persons, insults, content that is extremist, politically radical or harmful to youth, plays down or glorifies drugs and weapons and does not use appropriate language (sexualized, coarse, blasphemous etc.) and does not generate links to other websites that have such content.

4.2. Partner must regularly update the information and links connected with ABOUT YOU products and delete any obsolete links and content, unless these are dynamically maintained or changed by ABOUT YOU. Partner must keep ABOUT YOU links and content continuously updated, and is obliged to review the website at least once a week for possible changes to the information and links. Instructions from ABOUT YOU regarding the technical installation and maintenance of links must be observed without fail. In order to ensure accurate accounting, Partner must only use those links which have been provided by ABOUT YOU.

4.3. If third-party claims are asserted against ABOUT YOU based on circumstances which arise in connection with the setting-up, operation or maintenance of Partner Websites, including its content, Partner will indemnify ABOUT YOU at its first request from such third-party claims, including the costs connected with defending against such third-party claims, unless the claims are based on advertising media or product data provided by ABOUT YOU. Partner must support ABOUT YOU in defending against third party claims by providing statements, in particular affirmations in lieu of an oath, as well as by providing other information. Partner is to refrain from all actions which interfere with the functionality of the software or the system (e.g. mail bombing, etc.) and are liable for all damages which ABOUT YOU incurs through such actions caused by you.

4.4. Partner must not set up the website in a way that risks the likelihood of confusing it with the ABOUT YOU website or gives the impression that your website is the ABOUT YOU website or a part of the ABOUT YOU website. Partner must not use any materials belonging to ABOUT YOU on the website for which Partner has not obtained a valid license by ABOUT YOU. Partner`s domain name and the meta-text of the website must not contain the words “ABOUT YOU”.

4.5. When advertising Partner`s website in search machines or sponsored links, in the paid placement of advertisements, in keyword advertising or keyword targeting (e.g. Google AdWords etc.) by vendors (e.g. Google, Yahoo, MIVA etc.), Partner agrees to the following: The words “ABOUT YOU” or typos of these words may only be used after consent of ABOUT YOU. “ABOUT YOU” in any case may only be used in the advertising text, but not in the title of the advertisement. Partner may only use the address (URL) that Partner provided in the Application as the visible URL in the advertisement. Direct transfers to the ABOUT YOU website are not permitted.

In case of non compliance of this Terms, ABOUT YOU shall be entitled to cancel Partner`s participation in the ABOUT YOU Affiliate Program without any further notice and to cancel the advertising commissions earned due to this breach. The right to claim for further compensation of damages is expressly reserved.

4.6. Partner is not authorized to make or accept offers on behalf of ABOUT YOU or to represent ABOUT YOU. Furthermore, Partner is not authorized to send any direct marketing messages (e.g. e-mails etc.) with advertisements for ABOUT YOU and/or products from ABOUT YOU to end customers in the name of ABOUT YOU and/or in Partner`s own name. Partner does not act as ABOUT YOU’s commercial agent or commission agent. Partner ensures that the design of your website gives no other impression. Partner must not provide third parties with any information from which they could gain such an impression. Partner is not authorized to make or accept offers on behalf of ABOUT YOU or to represent ABOUT YOU on social media networks such as Facebook or Twitter. Furthermore, Partner is not permitted to carry on any form of paid advertising placement on such platforms that link directly to the ABOUT YOU Websites, whether in purely text form or in connection with the ABOUT YOU logo.

4.7. Partner must inform ABOUT YOU one month in advance of any change of your website’s domain, any change of the content organization of your website or its commercial purpose. It is permissible to continue placing links under the new domain, unless ABOUT YOU objects to such use. The same applies as well if you change the content organization or the commercial purpose of your website.

4.8. Partner must operate the website independently and bear sole responsibility for its content. Partner guarantees to observe the rules and obligations of the applicable data protection law. You must indemnify ABOUT YOU for all claims that arise against ABOUT YOU as a result of a breach of the data protection laws for which you are responsible.

4.9. Advertising media provided should only be used on the agreed websites and should not be shared with any other third party.

4.10. The use of ABOUT YOU partner links in browser extensions and/or similar tools , no matter if they are owned and/or provided by the Partner or a third party, is prohibited. Furthermore, any changes made to browsers in the form of plugins or software which take a user who is already on the ABOUT YOU website away to a Partner site, or that respectively use a Partner cookie, are prohibited. An example of this is overlays that are superimposed on the ABOUT YOU website and thus give the appearance of being part of the ABOUT YOU Websites. Any other use of plugins or tools of any kind must also be coordinated with ABOUT YOU. Existing Partner Websites that currently use a similar form of advertising likewise need to report these immediately and seek approval for further advertising using these forms. In cases of non compliance, the Partner Websites will be removed from the ABOUT YOU Affiliate Program.

4.11. The use of iFrames, pop-ups, pop-unders and layer advertising media which load ABOUT YOU advertising media or the ABOUT YOU online store and set up a cookie is prohibited. Registering in so-called adware networks (e.g. Zango/Hotbar) is prohibited. Orders generated on the basis of an electronic notice to the user (browser plug-in, adware etc.) that could still “carry with it” bonus points or other additional remuneration or bonuses will not be tolerated and advertising commissions that are made in this way will be cancelled. Only sales with a valid origin resulting from a regular marketing action on your website or advertising space will be remunerated. Post-view tracking is prohibited, unless ABOUT YOU has provided consent for the use of this method. If ABOUT YOU has provided such consent, a maximum of one cookie may be used for post-view delivery.

4.12. The use of so-called “forced clicks” is prohibited.

4.13. In case of a breach of the terms ABOUT YOU is entitled to cancel the participation in the ABOUT YOU Affiliate Program without further notice. In the case of an exclusion, open transactions will be canceled and not remunerated. Moreover, the right to take additional legal action is expressly reserved, including the assertion of claims for compensatory damages.

5. Amendments of Terms

5.1 ABOUT YOU reserves the right to change this terms from time to time. Partner either accepts changes by continuing of being a Partner in the Affiliate Network and/or by accepting the changes within the notice period of the Affiliate Network.

6. Confidentiality

6.1. Unless otherwise provided in these Terms all information, including the terms of this Agreement, company and financial information, customer and seller lists including pricing and sales information is to be treated with strict confidentiality and such confidential information may not be used by you either directly or indirectly for your own financial purposes or for any other purpose. This does not apply to relationships between ABOUT YOU and companies affiliated with ABOUT YOU for purposes of Section 15 et seq. AktG [German Companies Act].

6.2. Press releases regarding the collaboration based on this Contract are to be coordinated with ABOUT YOU and require ABOUT YOU’s consent prior to publication.

6.3. This does not apply to the extent that such information is known or accessible by the general public through generally available sources that are not sources belonging to the respective party. Regardless of this rule, either party is entitled to disclose a copy of such information when there is a corresponding court or administrative law order, the information is disclosed to accountants, lawyers or other parties bound to confidentiality or if there is a legal obligation to do so.

7. Guarantee and Liability

7.1. ABOUT YOU Websites will be operated by ABOUT YOU as far as technically possible. ABOUT YOU makes no promises or guarantees regarding the ABOUT YOU Affiliate Program, ABOUT YOU products and the usability and availability of the ABOUT YOU website free from defects and interruptions

7.2. In the case of intent or gross negligence, including that by legal representatives and agents, ABOUT YOU is liable in accordance with the statutory provisions. The statutory provisions also apply in the case of damages culpably caused by injury to life, body or health, damages caused by the lack of a guaranteed quality and in the case of fraudulently concealed defects. In the case of damages to property and financial losses caused by ABOUT YOU, its legal representatives or agents as a result of ordinary negligence, ABOUT YOU is only liable in the case of a breach of a material contract duty, and then limited to the amount of contract-typical damages foreseeable at the time the contract was concluded. Material contract duties are those the fulfillment of which makes the proper enforcement of a contract possible at all and compliance with which the contracting parties regularly trust and may trust. Liability according to the “ProdHaftG” [German Product Liability Act] remains unaffected. Otherwise, ABOUT YOU’s liability is excluded.

8. Miscellaneous Provisions

8.1. German law applies to this Agreement. Insofar as you are a businessperson for purposes of the “HGB” [German Commercial Code], a corporate body under public law or special fund under public law, Hamburg is agreed as the exclusive court of jurisdiction.This Agreement is not transferable without consent. ABOUT YOU is entitled to transfer its rights and duties under this Contract to companies in which ABOUT YOU or one of its shareholders participates directly or indirectly, or respectively to assign them rights under this Contract.

8.2. Should individual provisions of this Agreement be or become legally ineffective or unenforceable in whole or in part, this will not affect the validity of the remaining provisions of this Terms. The same applies if the Agreement contains an omission. A suitable provision should take the place of the ineffective or unenforceable provisions or supply the omission, which, insofar as is legally permissible, comes as close as possible to what the partners would have intended had they considered this point when concluding the Agreement.

8.3. This Terms become effective with the acceptance of Partner`s application for admission to the ABOUT YOU Affiliate Program and may be ordinarily terminated in writing by either party upon seven days ’ notice to the end of the month. The right of immediate termination without notice remains unaffected. 8.4. General terms and conditions of the Partner shall not apply vis-à-vis ABOUT YOU. This agreement is subject to the Code of Conduct (https://corporate.aboutyou.de/de/compliance ) of ABOUT YOU. ABOUT YOU is entitled to terminate this Terms in case of non compliance to the Code of Conduct.
